Welcome to Webytize (“we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your use of https://webytize.com (the “Site”) and your purchase of our e-commerce design, development, and AI services (the “Services”). By accessing the site or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our Site or Services.
1. Scope of Services
1.1 Services Offered. We provide:
- Shopify & WooCommerce store design, theme customization, optimization
- E-commerce graphics & branding (product images, banners, logos)
- Custom GPT-powered chatbots (text and voice) for e-commerce stores
- Related consulting, training, and support
1.2 Service Process. Upon order confirmation and payment, we will:
- Gather requirements via questionnaire or kickoff call
- Deliver initial designs/mockups within the agreed timeline
- Incorporate client feedback through up to two rounds of revisions (unless otherwise specified)
- Launch or hand off final assets and documentation
2. Client Obligations
2.1 Timely Feedback. You agree to provide feedback, content, assets, and approvals within the specified timeframes.
2.2 Access & Credentials. You will furnish any required access (Shopify/WooCommerce admin, hosting, domain registrar) promptly.
2.3 Legal Compliance. You warrant that all content you provide (text, images, logos) does not infringe on any third-party rights or violate applicable laws.
3. Fees, Payment & Invoicing
3.1 Fees. All fees are quoted in USD unless otherwise agreed.
3.2 Deposit & Milestones. A non-refundable deposit of 30% is due upon project kickoff. The remaining balance is due on completion of agreed milestones or upon final delivery.
3.3 Late Payments. Payments not received within 7 days of the invoice date incur a late fee of 5% per month.
3.4 Taxes. You are responsible for any applicable sales, VAT, or other taxes related to the services.
4. Refund & Cancellation
4.1 Refunds. Except for unforeseen circumstances, deposits are non-refundable. After final delivery, no refunds will be issued.
4.2 Cancellation. If you cancel mid-project, you remain liable for work completed to date. We will invoice you for hours worked at our standard hourly rate.
5. Intellectual Property
5.1 Ownership. Upon full payment, we assign to you all copyrights and IP rights in deliverables (design files, code, graphics, prompts).
5.2 Portfolio Rights. We reserve the right to showcase your project in our portfolio, website, and marketing materials unless you expressly request confidentiality in writing.
5.3 Pre-Existing Materials. We retain ownership of any pre-existing templates, code libraries, or AI models used to build your project.
6. Confidentiality
Both parties agree to keep confidential all non-public information disclosed in connection with the services. This obligation survives the termination of these terms.
7. Warranties & Disclaimers
7.1 Our Warranties. We warrant that we will perform services in a professional manner consistent with industry standards.
7.2 Disclaimer. Except as expressly provided, the Services are offered “as is,” and we disclaim all other warranties, express or implied, including merchantability or fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall Webytize be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services, even if advised of the possibility of such damages. Our total liability for any claim related to these terms will not exceed the total fees you have paid to us in the 6 months preceding the event giving rise to the claim.
9. Termination
Either party may terminate these terms for material breach if the breach remains uncured 14 days after written notice. Upon termination, you agree to pay for all services rendered up to the termination date.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of Pakistan without regard to conflict of law principles. Any dispute arising hereunder will be resolved by binding arbitration in Karachi under the rules of the Pakistan Arbitration Act.
11. Changes to Terms
We may update these terms from time to time. We will post the revised date at the top and notify you of material changes via email or a notice on our site. Continued use of the Site or Services after changes constitutes your acceptance.
